Welcome to Hello Bestie! These Terms of Service ("Terms") govern your access to and use of the Hello Bestie platform and constitute a legally binding agreement between you and Hello Bestie, LLC.

You may access these Terms at any time through the Hello Bestie mobile app under Settings > Terms, Policies & Licenses or on the footer of the Hello Bestie website. If you have any questions about these Terms, please contact us at support@hellobestie.co.

For purposes of these Terms:

"Hello Bestie," "we," "our," and "us" mean Hello Bestie, LLC. "Services" means the Hello Bestie platform, including community.hellobestie.co, hellobestie.co, our mobile applications, websites, memberships, events, travel opportunities, merchandise, Bestie Marketplace, business directory, sponsorship opportunities, advertising opportunities, content, features, and any other products or services we make available. "You" means any individual or entity that accesses or uses the Services.

By accessing or using the Services, creating an Account, purchasing a membership or any other Service, participating in an event or travel experience, submitting content, or otherwise interacting with Hello Bestie, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.

Important Information Please review these Terms carefully. Among other things, these Terms explain:

Jurisdiction The Hello Bestie App is based in the United States. It is not designed or customized for any other country. You may use the Hello Bestie App only if it fully complies with the laws of the country from which you are accessing the Hello Bestie App.

Community Eligibility Hello Bestie is a community created exclusively for women.

By creating an Account or using the Services, you represent and warrant that you meet this eligibility requirement. Hello Bestie reserves the right to request information reasonably necessary to verify eligibility. Failure or refusal to provide requested verification may result in the suspension or termination of your Account.

If Hello Bestie determines that an Account does not satisfy this eligibility requirement, or if you fail or refuse to provide requested verification, your Account may be suspended or terminated immediately. Any membership fees or other amounts paid in connection with an Account that violates this eligibility requirement or fails to complete the requested verification process are non-refundable, except where required by applicable law.

Age Requirement Hello Bestie is intended for adults only. You must be at least twenty-one (21) years of age to create an Account, access, or use the Hello Bestie platform, website, mobile application, events, travel opportunities, or Services.

By creating an Account or using the Services, you represent and warrant that you are at least twenty-one (21) years of age. Hello Bestie reserves the right to request age verification at any time and to suspend or terminate any Account that does not meet this requirement.

Individuals under the age of twenty-one (21) are not permitted to use the Services. If Hello Bestie determines that an Account was created by or on behalf of an individual under the age of twenty-one (21), the Account may be terminated immediately. Any membership fees or other amounts paid in connection with an Account that violates this age requirement are non-refundable, except where required by applicable law.

Community Purpose Hello Bestie is a women-centered community designed to help women build genuine friendships, meaningful connections, and a sense of belonging through online interactions, local events, travel opportunities, and shared experiences.

Our goal is to create a welcoming, respectful, and supportive environment where members can connect, engage, and build lasting relationships.

Community Standards Hello Bestie is built on kindness, respect, inclusion, authenticity, and meaningful connection. Members are expected to engage respectfully with others, contribute positively to the community, and comply with these Terms, including the Rules and Content Boundaries set forth below.

Failure to comply with these standards may result in content removal, participation restrictions, suspension, or termination of membership.

Events, Activities, and Travel Opportunities Hello Bestie may organize, promote, coordinate, or facilitate community events, activities, and travel opportunities. Participation in any event, activity, or travel opportunity is voluntary and at your own risk.

You are solely responsible for your own conduct, decisions, safety, transportation, and compliance with applicable laws while participating in any Hello Bestie event, activity, or travel opportunity. If alcohol is available or consumed at an event, you are solely responsible for your own alcohol consumption and for arranging safe transportation.

Certain travel opportunities may be offered through independent third-party travel agents, tour operators, hotels, transportation providers, or other vendors. Travel reservations, deposits, payment plans, final payments, cancellations, refunds, travel agreements, waivers, and related services are provided directly by such third parties. Participants are responsible for reviewing and agreeing to any terms, conditions, waivers, and policies required by the applicable travel provider.

To the fullest extent permitted by law, Hello Bestie is not responsible for the acts, omissions, services, products, conduct, negligence, cancellations, delays, injuries, losses, damages, or other actions of third-party venues, vendors, travel providers, transportation providers, event hosts, sponsors, advertisers, or other participants.

Event Registration, Cancellation, and Refunds Certain Hello Bestie events may require advance registration, ticket purchases, reservations, deposits, or other upfront expenses.

Because event costs are often incurred before the event date, refunds cannot be guaranteed. Refund requests will be considered on a case-by-case basis; however, approved refunds may be reduced by non-refundable service fees, payment processing fees, ticket costs, reservation fees, deposits, or other expenses already incurred on behalf of attendees.

When possible, Hello Bestie will make reasonable efforts to recover and refund eligible amounts. Participants who can no longer attend an event are encouraged to notify Hello Bestie as soon as possible and may be permitted to transfer their registration to a replacement participant with Hello Bestie's approval.

Photography & Media Release By participating in Hello Bestie events, activities, trips, retreats, community experiences, or other Hello Bestie-related activities, you acknowledge and agree that photographs, videos, audio recordings, and other media may be captured.

You grant Hello Bestie, its affiliates, partners, representatives, and assigns the irrevocable right to use, reproduce, publish, display, distribute, and otherwise utilize your image, likeness, voice, and appearance in photographs, videos, recordings, and other media for promotional, marketing, advertising, educational, community, and business purposes, in any format or medium now known or later developed, including but not limited to websites, social media platforms, email communications, digital advertising, printed materials, and private member communities.

You understand that you will not receive compensation for the use of such media and waive any right to inspect or approve the finished product or its use.

If you do not wish to appear in promotional materials, you must notify Hello Bestie in writing prior to the start of the applicable event or activity. While Hello Bestie will make reasonable efforts to accommodate such requests, participation in group activities may result in incidental inclusion in photographs or videos.

Participation in Hello Bestie events, activities, trips, retreats, and community experiences constitutes acknowledgment of and agreement to this Photography & Media Release.

Bestie Marketplace Hello Bestie may provide business directory services, business listings, advertising opportunities, Marketplace Plans, sponsorship opportunities, featured placements, promotional programs, and other business visibility services through the Bestie Marketplace.

Marketplace Plan purchases are non-refundable. The only exception is if your Marketplace Plan campaign does not begin within ninety (90) days of purchase due solely to advertising availability. In that case, you may request a full refund or choose to remain on the waiting list until your campaign begins.

Businesses listed within the Bestie Marketplace are independently owned and operated. Hello Bestie does not guarantee, endorse, warrant, or assume responsibility for any products, services, offers, representations, pricing, availability, conduct, or business practices of any listed business.

Members are responsible for conducting their own due diligence before engaging with any business, purchasing products or services, entering into agreements, or relying upon information provided by any business listed within the Bestie Marketplace.

Any transactions, purchases, communications, disputes, or interactions between members and businesses are solely between those parties.

Sponsorship Opportunities Hello Bestie may offer sponsorship opportunities, including Community Event Sponsorships, Signature Event Sponsorships, Travel Goodie Bag Sponsorships, Exclusive Travel Sponsorships, and other sponsorship opportunities from time to time.

All sponsorship purchases are subject to Hello Bestie's review and approval. The purchase of a sponsorship does not constitute an endorsement, recommendation, certification, or guarantee by Hello Bestie.

Sponsorship purchases are non-refundable once approved. If Hello Bestie rejects a sponsorship request before it is approved, the purchaser will receive a full refund. Hello Bestie reserves the right to approve, reject, suspend, remove, modify, or discontinue any sponsorship opportunity or sponsorship listing at its sole discretion, including when a sponsorship does not align with the values, policies, or interests of the Hello Bestie community.

The Hello Bestie App The Terms These Terms create a legally binding contract between you and us, so please read them carefully. By accessing and/or using the Hello Bestie App, you agree that you have read, understood and agree to be bound by these Terms. If you do not agree to these Terms, then you may not use the Hello Bestie App. We may change these Terms at any time, for any reason at our sole discretion and without notice. We’ll have the current terms posted on the Hello Bestie App website, and we’ll announce any material changes. If you continue to use the Hello Bestie App after the effective date of a change to the Terms, that means you’ve accepted and agree to the changed terms. If you object to any of the changes, then your sole recourse is to stop using the Hello Bestie App. Notwithstanding the preceding sentences of this Section 5, no revisions to these Terms will apply to any dispute between you and us that arose prior to the date of such revision.

We may also change, suspend or discontinue any aspect of the Hello Bestie App or any of its features, functions or content at any time, without notifying you or getting your approval. We hope you’ll like any changes we make, but even if you’re disappointed, please accept it gracefully. Change is part of life.

Privacy Policy We respect your privacy and share your concern about its protection. The Privacy Policy, which can be found at community.hellobestie.co/privacy_policy is a part of these Terms and is hereby incorporated in these Terms by reference. Please review the policy to make sure you understand how we may collect, use and protect information that we learn about you as a result of what you do on the Hello Bestie App. By agreeing to these Terms, you also agree to the Privacy Policy.

Mobile Services The Service will be accessible via a mobile phone, tablet, or other wireless device (collectively, “Mobile Services”). Your mobile carrier’s normal messaging, data, and other rates and fees will apply to your use of the Mobile Services. In addition, downloading, installing, or using certain Mobile Services may be prohibited or restricted by your mobile carrier, and not all Mobile Services may work with all carriers or devices. Therefore, you are solely responsible for checking with your mobile carrier to determine if the Mobile Services are available for your mobile device(s), what restrictions, if any, may be applicable to your use of the Mobile Services, and how much they will cost you. Nevertheless, all use of the Hello Bestie App and the related Mobile Services must be in accordance with these Terms.

Registration While you may browse the public-facing portions of the Hello Bestie App, you must register an account (an "Account") and complete the applicable membership requirements before you can enjoy the full benefits of the Hello Bestie App, including posting User Content.

Creating an Account does not activate membership in Hello Bestie. Membership becomes active only after the required annual membership fee has been successfully paid.

Accounts that do not complete the required membership payment by the end of the calendar month in which the Account was created may be removed without notice. Individuals whose Accounts are removed for non-payment are welcome to create a new Account and complete the current membership process.

Hello Bestie is an active community built around meaningful participation and real-life connections. Members are expected to engage respectfully within the community through conversations, groups, and events whenever reasonably possible.

To help maintain an active, welcoming community, Hello Bestie may periodically review member activity and remove Accounts that remain inactive for an extended period. Inactivity reviews are generally conducted on a quarterly basis; however, Hello Bestie reserves the right to review and remove inactive Accounts at its sole discretion. Individuals whose Accounts are removed due to inactivity are welcome to register again by completing the current membership process.

Membership in Hello Bestie is a two-way relationship. If you no longer wish to be a member of Hello Bestie, you may cancel your membership through your account settings or by contacting support@hellobestie.co.

Membership fees are non-refundable. Cancellation of your membership, suspension, restriction, termination, or removal of your Account by Hello Bestie does not entitle you to a refund of any membership fees paid, except where required by applicable law.

Hello Bestie reserves the right to suspend, restrict, terminate, or remove any Account, limit access to any portion of the Hello Bestie App, modify eligibility criteria, remove User Content, or deny access at its sole discretion and without liability. These actions may occur as a result of violations of these Terms, the Hello Bestie App Rules and Content Boundaries, applicable law, the rights of a third party, conduct inconsistent with the values or purpose of the Hello Bestie community, or any activity that may cause harm to Hello Bestie or its members. In some circumstances, Hello Bestie may provide an opportunity to resolve an issue before taking further action, but is under no obligation to do so.

When you register with us and each time you access the Hello Bestie App, you may provide certain information about yourself. You agree that we may use any information we obtain about you in accordance with our Privacy Policy.

If you choose to register with us, you agree to:

(a) provide true, accurate, current, and complete information as requested during registration; and

(b) maintain and promptly update such information so that it remains true, accurate, current, and complete.

If we are unable to contact you because your contact information is inaccurate or no longer current, we may suspend or terminate your Account.

You may discontinue your participation in and access to the Hello Bestie App at any time. We reserve the right to investigate your use of the Hello Bestie App if we reasonably believe you have violated these Terms. Upon termination of your Account, Hello Bestie has no obligation to retain, store, or provide access to any data, information, or other content you uploaded, stored, or transferred through the Hello Bestie App. You are solely responsible for maintaining copies of any content you wish to retain.

Stay In Control
Please keep control of your login, password and other account information, and don’t give them to anyone else. If you let anyone else log in to the Hello Bestie App as you, then as far as we are concerned it is you. If someone else uses your login credentials, you are responsible for all activity that occurs under your account and any resulting harm or damages. If you think someone may have stolen your login or otherwise hacked your account, let us know right away by contacting us at support@hellobestie.co.

Names and Usernames Hello Bestie is built on authentic connection and real-life friendships. When creating an account, you must provide your real and accurate first and last name, which may be displayed to other members as part of your profile and participation within the community.

You may also select a username for use within the platform. Usernames may not be false, misleading, offensive, impersonate another person, infringe the rights of others, or otherwise violate these Terms or the Hello Bestie App Rules and Content Boundaries.

We reserve the right to review, edit, reject, suspend, or remove usernames or accounts that violate these Terms or the Hello Bestie App Rules and Content Boundaries.

You grant us a royalty-free license to use your name, username, image, voice, and likeness to identify you as the source of any User Content you submit to Hello Bestie.

Our License to You
The Hello Bestie App is licensed, not sold, to you for use only under these Terms. We reserve all rights not expressly granted to you. Subject to your complete and ongoing compliance with these Terms, we hereby grant you a personal, limited, revocable, non-transferable license to access and use the Hello Bestie App solely for your personal, non-commercial use. By “content,” we mean basically everything you can see or hear on the Hello Bestie App: pictures, video, audio (including any musical works included therein), articles, features, graphics, messages, posts, comments, user names, tags, files, software, interactive features and so on. There are two types of content on the Hello Bestie App: what we (or our advertisers and partners) put on there, and what users like you put on there. Our Content: Everything that we put on the Hello Bestie App is owned by us or by one of our licensors or partners. It’s all protected by the copyright laws, trademark laws, and various other laws. Registering on and using the Hello Bestie App does not give you ownership of any of that, in any way. We do, however, give you permission to use it on the Hello Bestie App, but only while you are there and for the permitted activities you might do there, and only for your personal, non-commercial use. So once you are registered, feel free to talk about, comment on, and interact with everything and everyone on the Hello Bestie App in any appropriate way, but realize that you don’t get any rights to copy or use any content outside the Hello Bestie App (except through the Hello Bestie App’s officially designated “Share” buttons), and certainly not (not even when using the “Share” button) for any commercial purpose or any way that violates our or our users’ rights. In particular, you agree you won’t copy, upload, republish, broadcast, transmit, retransmit, post, create derivative works of, publicly perform, publicly display, distribute or use for any commercial purpose our name, logos, service marks or trademarks (or any colorable imitation of any of these) without our prior express written permission or as expressly permitted by the features of the Hello Bestie App. When we use the term “commercial,” it includes activities related to selling, renting, licensing, marketing, advertising, receiving compensation or seeking money for or exploiting any product, service or organization. We or our licensors or service providers own all design rights, databases and compilation and other intellectual property rights in and to the Hello Bestie App, in each case whether registered or unregistered, and all related goodwill.

Trademarks
Our trademarks, service marks, and logos used and displayed on the Hello Bestie App are our registered and unregistered trademarks. Other product and service names located on the Hello Bestie App may be trademarks or service marks owned by third parties (the “Third-Party Trademarks,” and, collectively with IC Trademarks, the “Trademarks”). Except as otherwise permitted by law, you may not use the Trademarks to disparage us or the applicable third-party, our or a third-party’s products or services, or in any manner (using commercially reasonable judgment) that may damage any goodwill in the Trademarks. You may not use any Trademarks as part of a link to or from the Hello Bestie App without our prior express written consent. You may not remove any Trademarks identifying the ownership or origin of any of our content. All goodwill generated from the use of any IC Trademark will inure solely to our benefit. There are no implied licenses in these Terms to use the Trademarks without authorization. User Content and What You and We Can Do With It User Content: All content that is posted to the Hello Bestie App by a user – including you (“User Content”) – is the sole responsibility of the user who originated it and/or from whose account it was posted. The User Content you post on the Hello Bestie App is essentially public, so make sure you’re comfortable with that before you post. Generally speaking we don’t own User Content, but for everything you might contribute to the Hello Bestie App, you irrevocably give us (and our affiliates, representatives, sublicensees and assigns) the worldwide, unrestricted, assignable perpetual, unlimited, royalty-free, fully paid-up right and sublicensable license to use your User Content in any manner, including, by way of example and not limitation, to distribute, syndicate, license, reproduce, modify, adapt, publish, translate, publicly perform, publicly display, and create derivate works of such User Content, for any purpose and in any medium, whether now known or later developed, throughout the universe, including on a for profit basis. We don’t have to keep using or displaying your User Content on the Hello Bestie App, but we can, forever. We can also do anything else with it – for example, we might develop new features on the Hello Bestie App, or even develop commercial products for sale, that are based on ideas or suggestions contained in posts by you or other users, and we have no obligation to compensate you for such use or even notify you of such use. We might also highlight your User Content, change it, incorporate it into other content, use it in a contest or sweepstakes, display advertisements (including targeted ads) in connection with your User Content and to use your User Content for advertising and promotional purposes, and/or post or use it in any medium (inside and outside of the Hello Bestie App), in consideration for us granting you access and use of the Hello Bestie App but without any additional compensation to you. We own all right, title, and interest in any compilation, collective work or other derivative work created by us using or incorporating your User Content (but we do not own your original User Content). When you use a feature on the Hello Bestie App that allows users to share, transform, readapt, modify, or combine User Content with other content, you grant us and our users an irrevocable, non-exclusive, royalty free, perpetual right and license throughout the universe (yeah, the International Space Station counts) to use, reproduce, modify, display, remix, perform, distribute, redistribute, adapt, promote, create derivative works, and syndicate your User Content in any medium and through any form of technology or distribution and to permit any derivative works to be licensed under these same license terms. The rights granted under this Section 12 will survive the termination of these Terms.

You represent and warrant that:

(a) you have the right to use, share and license to us all User Content that you post or provide on the Hello Bestie App, including the right to license to us the right to use the content as contemplated in these Terms; (b) that such User Content does not and will not infringe, violate or misappropriate the rights of anyone or violate the law; (c) that the posting of your User Content on the Hello Bestie App will not require us to obtain any further licenses from or pay any royalties, fees, compensation, or other amounts or provide any attribution to any third parties; and (d) the posting of your User Content on the Hello Bestie App does not result in a breach of contract between you and a third party.

You agree to pay all monies owing to any person as a result of your posting your User Content on the Hello Bestie App. So don’t contribute any confidential, secret or proprietary content. You agree that you are solely responsible for all of your User Content, and we are not responsible for any loss, theft or damage to, or caused by, your User Content or any other User Content. We have no obligation to preserve, review, host, display or maintain any content posted by you or any other user. In fact, we can reject or remove it from the Hello Bestie App at any time, for any or no reason, and without notifying the user who posted it.

We reserve the right to monitor all content posted to the Hello Bestie App, and to take down anything we think should come down, with or without notice, and without any liability to you, but we don’t have to monitor content or remove any User Content except as required by law. We aren’t responsible for anything another user may post to the Hello Bestie App. If you see something posted that you find improper or offensive, feel free to let us know by clicking on the three dots in the bottom right-hand corner of the specific post and then clicking on “Report Post”, but your main remedy is to stop looking at it.

All content and materials provided on the Hello Bestie App are intended for general information, general discussion, education and entertainment purposes only. Do not construe that such content is either endorsed or verified by us. You rely upon any User Content at your sole risk so be careful. If we think anything illegal might be going on, we have the right to tell the authorities everything we know, including anything you’ve told us. The Privacy Policy available at community.hellobestie.co/privacy_policy gives more specifics.

The Hello Bestie App Rules and Content Boundaries The Hello Bestie App offers lots things to do and lots of ways for you to interact with others. Those activities and tools are offered for your personal information and entertainment. We want to keep this site fun and informative for all participants. Please use them only for that purpose. DO NOT: Post or transmit anything that is inappropriate for a family site (“Objectionable Content”) – this includes:

• Obscenities,
• References to illegal behavior,
• Sexually explicit, vulgar, violent or pornographic content
• Anything others might reasonably find to be threatening, abusive, derogatory, hateful, embarrassing, bullying, discriminatory or inflammatory
• Anything that is disrespectful, defamatory, or denigrating
• Post or transmit anything you don’t have the right to use – this includes: other people’s private and confidential information, such as credit card numbers, street address, telephone number, email address, or Social Security/National Identity numbers, without their express authorization and permission
• Intimate photos or videos, particularly if taken or distributed without the subject’s consent
• Content that infringes on, invades the privacy of, or violates the rights of another
• anything that is false or misleading
• Post or transmit unauthorized ads or commercial messages (including promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other solicitation), or use the Hello Bestie App to send emails or other communications to persons who have requested that you not send them communications. Approved advertising, directory listings, sponsorships, partnerships, and promotional opportunities offered through Hello Bestie are permitted. • Make unauthorized copies or derivative works of any content made available on or through the Hello Bestie App
• Impersonate anyone (real or fictitious), including in a manner that does or is intended to mislead, confuse or deceive others, misrepresent your affiliation with any person or business or provide any false information to us
• Create a new account with Hello Bestie App, without our express written consent, if we have previously disabled an Account of yours
• Solicit, or attempt to solicit, personal information from other users of Hello Bestie App
• Download or summarize or abstract the Hello Bestie App or any of its content for use anywhere else, except through the Hello Bestie App’s officially designated “Share” buttons (subject to the restrictions discussed elsewhere in these Terms)
• Try to hack the Hello Bestie App, or access anything you are not supposed to, like other user data, for example (including data-mining technology or automatic or manual process to monitor, cache, frame, mask, extract data from, copy or distribute any data from the Hello Bestie App, our network or databases)
• Post or transmit spam or anything that might overburden, restrict, disrupt, circumvent the security measures of or harm the Hello Bestie App – files too large for the infrastructure to handle, viruses, Trojans, bots, adware, malware, spyware, computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any software or hardware or telecommunications equipment, and so on
• Use the Hello Bestie App for any unlawful purpose or in furtherance of illegal activities
• Engage in targeted abuse, stalking or harassment
• Violate any local, state, national, or international law or regulation, or disobey any requirements, procedures, policies, or regulations of networks connected to the Hello Bestie App or
• Assist or cause others to do or say anything that you are prohibited from doing or saying under these rules.

You agree not to use the Hello Bestie App to do any of the conduct listed in the above bullets. If you do any of these things, or if you do anything else that we think interferes with the ability of other people to enjoy the Hello Bestie App, we have the right to bar you from the Hello Bestie App and take any other action we believe is appropriate.

International users must comply with all local laws regarding online conduct and acceptable content. Users may use the "Report Post" feature to flag any post be reviewed and dealt with by an administrator. If it turns out any User Content, conduct or use is illegal, malicious or otherwise violates these Terms, we are not responsible — the user that posted such User Content is responsible.

External Sites
The Hello Bestie App may contain links and pointers to other internet sites and resources, like people who sell tickets or merchandise or offer contests, games or sweepstakes, or just other informational sites (collectively, “External Sites”). These are provided for your convenience, and we don’t necessarily endorse them or guarantee their availability, accuracy, legality, performance or safety. If you choose to follow any links to External Sites, then you proceed at your own risk. Such External Sites are not endorsed, sponsored, administered or operated by us, and you agree that we will not be liable for, and you (or anyone on your behalf) will not assert any claims, demands, causes of action, losses, liabilities, damages or judgments against us arising out of or in connection with the External Sites, including any promotion, advertisement, operation, entries or prizes in connection therewith. You’ll have the ability to share links to Hello Bestie App content. Links should never be re-labeled or edited, for example, so as to suggest any sponsorship or affiliation between you and us, nor should any accompanying material make any such suggestion. We have the right at any time and for any reason to require that any link to the Hello Bestie App be modified or removed.

Feedback
While we are continually working to develop and evaluate our own product ideas and features, we know we don’t have all the answers. We therefore welcome your feedback, comments and suggestions. If you choose to contribute by sending us, our employees or our partners any ideas for products, services, features, modifications, enhancements, content, refinements, technologies, content offerings (such as audio, visual, games, or other types of content), promotions, strategies, or product/feature names, or any related documentation, artwork, computer code, diagrams, or other materials (collectively “Feedback”), then regardless of what your accompanying communication may say, the following terms will apply, so that future misunderstandings can be avoided. Accordingly, by sending Feedback to us, you agree that: We have no obligation to review, consider, or implement your Feedback, or to return to you all or part of any Feedback for any reason; Feedback is provided on a non-confidential basis, and we are not under any obligation to keep any Feedback you send confidential or to refrain from using or disclosing it in any way; and You irrevocably grant us perpetual and unlimited permission to use the Feedback and derivatives thereof for any purpose and without restriction, free of charge and without attribution of any kind, including by making, using, selling, offering for sale, importing, and promoting commercial products and services that incorporate or embody Feedback, whether in whole or in part, and whether as provided or as modified.

Votes; Contests; Sweepstakes
You may have opportunities to vote or enter contests and sweepstakes on the Hello Bestie App. You may also have opportunities to enter giveaways on the Hello Bestie App. By participating in any of these, you agree to the terms set forth at community.hellobestie.co/terms_of_service, as well as any other terms and conditions we may post with respect to such contest or sweepstakes. In addition, we may conduct programs that do not require sign-up or registration, in which we provide you with a gift or giveaway, for example, as a “thank you” for a post, and/or feature or highlight your post or User Content. You agree that we may conduct these programs and use your User Content and/or posts for them as provided for in these Terms.

Limitation of Warranties and Remedies THE FOLLOWING TERMS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

The Hello Bestie App, website, Bestie Marketplace, business directory, sponsorship opportunities, events, travel experiences, and all related services (collectively, the "Services") are provided on an "AS IS" and "AS AVAILABLE" basis.

To the fullest extent permitted by law, Hello Bestie, LLC and its owners, officers, employees, contractors, volunteers, affiliates, agents, and representatives (collectively, the "Hello Bestie Parties") disclaim all express and implied warranties, including, without limitation, any warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, security, or uninterrupted operation.

We do not warrant that the Services will always be available, uninterrupted, timely, secure, error-free, or free from viruses or other harmful components, or that any defects will be corrected.

While Hello Bestie may review, moderate, approve, reject, feature, suspend, or remove content, businesses, advertisements, sponsorships, events, or other materials at its discretion, Hello Bestie does not verify, endorse, certify, guarantee, or assume responsibility for any information, content, products, services, offers, representations, pricing, availability, conduct, or business practices of members, businesses, advertisers, sponsors, vendors, travel providers, venues, or any other third parties.

You are solely responsible for evaluating the accuracy, completeness, reliability, and suitability of any information or opportunity made available through the Services and for any decisions or actions you take based upon that information. Your use of the Services is at your own risk.

Your sole remedy for dissatisfaction with the Services is to discontinue using the Services and, if applicable, terminate your membership.

To the fullest extent permitted by law, the Hello Bestie Parties shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, including, without limitation, damages for lost profits, lost revenue, loss of business opportunities, loss of goodwill, loss of data, personal injury, property damage, or any other tangible or intangible losses arising out of or relating to:

  1. your access to or use of the Services;
  2. any interruption, delay, suspension, modification, or discontinuation of the Services;
  3. the removal, suspension, restriction, or termination of your Account or User Content;
  4. unauthorized access to your Account or your failure to protect your login credentials;
  5. your interactions or transactions with members, businesses, sponsors, advertisers, vendors, travel providers, venues, or other third parties;
  6. your participation in any meetup, event, activity, sponsorship, Marketplace transaction, or travel experience; or
  7. any content, products, services, websites, or resources provided by third parties, including those accessed through links available within the Services.

Nothing in these Terms limits liability that cannot be excluded or limited under applicable law.

To the fullest extent permitted by law, the total aggregate liability of the Hello Bestie Parties for any claim arising out of or relating to the Services or these Terms shall not exceed the total amount paid by you to Hello Bestie for the applicable Service giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim.

Indemnification To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Hello Bestie, LLC and its owners, officers, employees, contractors, volunteers, affiliates, agents, and representatives (collectively, the "Hello Bestie Parties") from and against any claims, demands, actions, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees and court costs, arising out of or relating to:

(a) your access to or use of the Services;

(b) your User Content or any content you submit, post, upload, or share through the Services;

(c) your violation of these Terms, the Community Guidelines, or applicable law;

(d) your infringement or alleged infringement of any intellectual property, privacy, publicity, or other legal rights of any person or entity;

(e) your interactions or transactions with businesses, advertisers, sponsors, vendors, travel providers, venues, members, or other third parties; or

(f) your negligent, fraudulent, willful, or unlawful conduct.

Hello Bestie reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. If we do so, you agree to cooperate fully and reasonably in our defense.

You are solely responsible for all activities that occur under your Account and for ensuring that anyone accessing the Services through your Account complies with these Terms.

Dispute Resolution, Arbitration, and Class Action Waiver To the fullest extent permitted by applicable law, you and Hello Bestie agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be subject to the informal resolution procedures set forth below before either party initiates arbitration, except where these Terms expressly provide otherwise.

Class Action Waiver You and Hello Bestie agree that all claims shall be brought solely in an individual capacity and not as a plaintiff or class member in any class action, class arbitration, consolidated action, representative action, or private attorney general proceeding.

Unless all parties provide prior written consent, no arbitration or legal proceeding may be consolidated with or joined to another person's claim.

If any portion of this Class Action Waiver is determined to be invalid or unenforceable, only that portion shall be severed, and the remaining provisions of this Dispute Resolution section shall remain in full force and effect to the fullest extent permitted by applicable law.

Governing Law These Terms and any dispute arising out of or relating to the Services shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

If a dispute is permitted to proceed in court under these Terms, you and Hello Bestie agree that exclusive jurisdiction and venue shall lie in the state or federal courts located in the State of Texas, and each party irrevocably consents to the jurisdiction of those courts.

Agreement to Arbitrate Except for the disputes specifically excluded below, you and Hello Bestie agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (each, a "Dispute") shall be resolved exclusively through final and binding arbitration rather than in court.

The arbitrator shall have the exclusive authority to resolve any Dispute, including determining the scope, enforceability, or applicability of this arbitration agreement and whether any provision of these Terms is void or voidable.

Disputes Excluded from Arbitration Nothing in these Terms shall prevent either you or Hello Bestie from:

(a) bringing an individual action in small claims court, if the claim qualifies;

(b) pursuing an enforcement action before a federal, state, or local governmental agency where permitted by law;

(c) seeking temporary or preliminary injunctive or equitable relief in a court of competent jurisdiction; or

(d) filing an action relating to the enforcement, protection, or infringement of intellectual property rights or to compel or enforce an arbitration award.

Claims described in this section are not subject to the informal negotiation procedures set forth below.

Informal Negotiations Before initiating arbitration, you and Hello Bestie agree to first attempt to resolve any Dispute through good-faith informal negotiations for a period of at least sixty (60) days.

The party initiating the Dispute must provide written notice describing the nature of the Dispute and the requested resolution.

Hello Bestie will provide notice using the email address associated with your Account or any other contact information you have provided. You must send your notice to:

If the Dispute is not resolved within the sixty (60)-day informal negotiation period, either party may initiate arbitration.

Commencing Arbitration If a Dispute is not resolved through informal negotiations, it shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules then in effect, except as modified by these Terms.

BY AGREEING TO THESE TERMS, YOU AND HELLO BESTIE WAIVE THE RIGHT TO HAVE ANY DISPUTE DECIDED BY A JUDGE OR JURY AND WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR OTHER REPRESENTATIVE PROCEEDING, EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS.

The arbitration may be conducted in person, through written submissions, by telephone, by videoconference, or by any other method permitted by the AAA Rules or approved by the arbitrator.

The arbitrator may award any remedy available under applicable law, but only to the extent necessary to resolve the individual Dispute before the arbitrator.

Fees and Location Arbitration filing fees, administrative fees, arbitrator compensation, and other arbitration costs shall be allocated in accordance with the applicable AAA Rules and governing law.

If the amount in controversy is Ten Thousand U.S. Dollars (US $10,000) or less, either party may elect to have the arbitration conducted solely on the basis of written submissions, by telephone, by videoconference, or by another method permitted by the AAA Rules.

Unless otherwise agreed by the parties or required by the AAA Rules, any in-person arbitration hearing shall take place in the State of Texas.

Unless otherwise required by applicable law or the AAA Rules, each party shall be responsible for its own attorneys' fees, costs, and expenses.

The arbitrator shall issue a written decision setting forth the essential findings and conclusions supporting the arbitration award.

Confidentiality of Settlement Offers Settlement discussions and settlement offers made before or during arbitration shall remain confidential and shall not be disclosed to the arbitrator until after the arbitrator has issued a final arbitration award, except as required by applicable law or the AAA Rules.

Notice and Procedure for Making Claims of Infringement Hello Bestie respects the intellectual property rights of others. We maintain a policy of removing or disabling access to content that we believe, in good faith, infringes the intellectual property rights of another person or entity. We also reserve the right to suspend or terminate the Account of any user who repeatedly infringes the intellectual property rights of others or otherwise violates applicable intellectual property laws.

If you believe that any content available through the Services infringes your copyright, trademark, or other intellectual property rights, please submit a written notice to our Designated Agent.

Pursuant to the Digital Millennium Copyright Act ("DMCA"), 17 U.S.C. § 512(c)(2), Honeycommb has been designated as the Designated Agent to receive notifications of claimed copyright infringement relating to the Hello Bestie Services.

To be effective, a notification of claimed infringement must include:

(a) a physical or electronic signature of a person authorized to act on behalf of the owner of the intellectual property right allegedly infringed;

(b) identification of the copyrighted work or other intellectual property claimed to have been infringed, or, if multiple works are covered by a single notification, a representative list of those works;

(c) identification of the material claimed to be infringing or to be the subject of infringing activity, together with information reasonably sufficient to permit us to locate the material;

(d) your name, mailing address, telephone number, and email address;

(e) a statement that you have a good faith belief that the disputed use is not authorized by the intellectual property owner, its agent, or the law; and

(f) a statement, made under penalty of perjury, that the information contained in the notification is accurate and that you are authorized to act on behalf of the owner of the intellectual property right allegedly infringed.

You should consult your own legal counsel or review 17 U.S.C. § 512 to ensure your notification complies with the requirements of the DMCA.

Upon receiving a valid notification of claimed infringement, Hello Bestie or Honeycommb may remove or disable access to the allegedly infringing material and notify the user who posted the material, as required by applicable law.

If a valid counter-notification is received, Hello Bestie or Honeycommb may restore the removed or disabled material in accordance with the procedures and timeframes established by the DMCA unless the original complaining party provides notice that legal action has been commenced to prevent restoration of the material.

Repeat Infringer Policy Hello Bestie's intellectual property policy is to:

(a) remove or disable access to material that we believe, in good faith, infringes the intellectual property rights of another person or entity after receiving a valid notice of infringement; and

(b) remove User Content submitted by repeat infringers.

For purposes of these Terms, a "repeat infringer" is any user for whom Hello Bestie or its Designated Agent has received more than two (2) valid infringement notices that comply with the requirements of 17 U.S.C. § 512.

Notwithstanding the foregoing, Hello Bestie reserves the right, in its sole discretion, to suspend or terminate any Account after receipt of a single valid infringement notice or whenever Hello Bestie reasonably determines that a user has violated the intellectual property rights of another person or entity.

Notifications You agree to transact with Hello Bestie electronically. By registering for, accessing, or using the Services, you consent to receive notices, disclosures, agreements, and other communications electronically.

At our discretion, we may provide notices to you by:

(a) sending an email to the email address associated with your Account; or

(b) posting the notice through the Services or on a website designated by Hello Bestie for that purpose.

Any electronic notice will be deemed delivered when sent or posted, regardless of whether you actually receive or read the notice.

You may withdraw your consent to receive electronic notices by discontinuing your use of the Services and closing your Account.

Additional Applications Hello Bestie may offer mobile applications or other software to provide access to the Services. Subject to your compliance with these Terms, Hello Bestie grants you a limited, personal, non-exclusive, non-transferable, and revocable license to install and use such applications solely for your personal, non-commercial use.

Hello Bestie may provide updates, upgrades, bug fixes, security patches, or other modifications to these applications from time to time. By continuing to use the applications, you consent to the installation of such updates where permitted by your device or operating system.

Applications distributed through third-party app stores may also be subject to the terms and conditions of those app stores. In the event of a conflict between those terms and these Terms regarding the application, the applicable app store terms shall govern only to the extent required for the distribution of the application.

Except as expressly permitted by applicable law, you may not:

(a) copy, reproduce, modify, adapt, or create derivative works of any application;

(b) sell, sublicense, lease, rent, distribute, assign, or otherwise transfer any application or any rights granted under these Terms;

(c) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying technology of any application; or

(d) remove, alter, or obscure any copyright, trademark, proprietary notice, or other intellectual property notice contained within any application.

All rights not expressly granted to you are reserved by Hello Bestie.

Term and Termination These Terms become effective when you first access or use the Services and remain in effect until terminated by either you or Hello Bestie.

Termination of your Account, membership, or access to the Services does not affect any rights or obligations that, by their nature, are intended to survive termination. These include, without limitation, provisions relating to intellectual property, licenses, representations and warranties, disclaimers, limitation of liability, indemnification, dispute resolution, arbitration, governing law, jurisdiction, payment obligations, and any other provisions intended to survive termination.

If any provision of these Terms is determined by a court or arbitrator of competent jurisdiction to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by law. If such enforcement is not possible, the provision shall be deemed severed from these Terms, and the remaining provisions shall remain in full force and effect.

Miscellaneous Section headings are provided for convenience only and do not affect the interpretation of these Terms.

Any waiver of any provision of these Terms shall not constitute a waiver of any other provision or of Hello Bestie's right to enforce that provision in the future. Failure to exercise or enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.

Nothing in these Terms creates any partnership, joint venture, employment, agency, or fiduciary relationship between you and Hello Bestie.

A printed or electronic version of these Terms and any electronically delivered notice shall be admissible in any judicial, administrative, or arbitration proceeding to the same extent as other business records.

All rights not expressly granted under these Terms are reserved by Hello Bestie.

Hello Bestie may assign, transfer, delegate, or subcontract its rights or obligations under these Terms without restriction. You may not assign, transfer, delegate, or sublicense your rights or obligations under these Terms without Hello Bestie's prior written consent.

For purposes of these Terms:

(a) references to "including" or "include" mean "including without limitation";

(b) any prohibition or restriction applicable to you also prohibits you from authorizing, encouraging, or assisting another person to engage in the prohibited conduct; and

(c) these Terms constitute the entire agreement between you and Hello Bestie regarding the Services and supersede all prior or contemporaneous agreements, communications, and understandings relating to the same subject matter.

If you download or use any software, mobile application, or feature made available through the Services, you also agree to comply with any additional terms applicable to that software, application, or feature.

Notice Regarding Apple If you access or download the Services through Apple's App Store, you acknowledge and agree that these Terms are between you and Hello Bestie only, and not with Apple. Apple is not responsible for the Services or their content.

Apple has no obligation to provide any maintenance or support services for the Services. To the maximum extent permitted by applicable law, Apple has no warranty obligations with respect to the Services. If the Services fail to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, paid for the applicable application. Except for such refund, and to the fullest extent permitted by law, Apple shall have no other warranty obligation with respect to the Services.

Apple is not responsible for addressing any claims by you or any third party relating to the Services or your possession or use of the Services, including, without limitation:

(a) product liability claims;

(b) claims that the Services fail to conform to any applicable legal or regulatory requirement; or

(c) claims arising under consumer protection or similar laws.

Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party claim alleging that the Services or your possession or use of the Services infringe that third party's intellectual property rights.

You agree to comply with all applicable third-party terms and conditions when using the Services. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance of these Terms, shall have the right to enforce these Terms against you as a third-party beneficiary.

You represent and warrant that:

(a) you are not located in a country that is subject to a U.S. Government embargo or designated by the U.S. Government as a country supporting terrorism; and

(b) you are not listed on any U.S. Government list of prohibited or restricted parties.

Language If Hello Bestie provides a translation of these Terms, the translation is provided solely for your convenience. In the event of any conflict or inconsistency between a translated version and the English-language version, the English-language version shall control.
